1. Acceptance of Terms
These Terms of Service (“Terms”) form a legal agreement between you or the organization you represent (“Customer”) and SpikedAI (“SpikedAI”, “we”, “us”, or “our”). By accessing or using the services, you agree to be bound by these Terms.
If you use the services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Services
SpikedAI provides software designed to analyze meeting transcripts and related business information in order to generate insights, summaries, signals, and performance intelligence.
SpikedAI does not independently record meetings or capture audio or video. Meeting recordings and transcription services are performed by third-party providers integrated and authorized by customers.
3. Accounts and Organizations
Access to the services may require account registration. Customers are responsible for maintaining the confidentiality of account credentials and for all activities conducted under their accounts.
Organizational administrators control workspace configuration, integrations, and user access permissions.
4. Acceptable Use
You agree not to:
- use the services for unlawful or fraudulent purposes;
- upload or process data without appropriate authorization;
- attempt to reverse engineer or interfere with the platform;
- circumvent security protections or access controls;
- use the services to build competing products through unauthorized access.
5. Customer Data and Integrations
Customers determine what data is shared with SpikedAI through integrations and represent that they have obtained all necessary permissions and legal rights to process such data.
SpikedAI generally acts as a data processor on behalf of customer organizations and processes customer data solely to provide the services.
6. Artificial Intelligence Processing
The services include automated analysis using machine learning systems. Outputs are probabilistic and may contain inaccuracies or omissions.
Outputs are intended to assist users and should be reviewed by humans before being relied upon for operational, business, or strategic decisions.
Customer content is not used to train general-purpose artificial intelligence models without authorization.
7. Fees and Billing
Certain features may require payment. Customers agree to pay applicable fees as described in subscription or pricing terms presented at purchase.
Fees are non-refundable except where required by law or expressly stated.
8. Intellectual Property
SpikedAI retains all rights, title, and interest in the services, including software, models, platform technology, and related intellectual property.
Customers retain ownership of their data and grant SpikedAI a limited license to process such data solely to operate and provide the services.
9. Suspension and Termination
SpikedAI may suspend or terminate access to the services if these Terms are violated, required by law, or necessary to protect platform security or other users.
Customers may discontinue use at any time. Upon termination, access may be revoked in accordance with applicable retention policies.
10. Disclaimers
The services are provided “as is” and “as available.” To the maximum extent permitted by law, SpikedAI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, SpikedAI shall not be liable for indirect, incidental, consequential, or special damages, including loss of profits, business interruption, or loss of data.
SpikedAI’s total liability arising from the services shall not exceed the amount paid by the customer for the services during the twelve months preceding the claim.
12. Indemnification
Customers agree to indemnify and hold harmless SpikedAI from claims arising from customer data, integrations, misuse of the services, or violation of applicable laws or these Terms.
13. General Terms
These Terms constitute the entire agreement regarding the services and supersede prior agreements relating to their subject matter.
We may update these Terms periodically. Continued use of the services after changes become effective constitutes acceptance of the revised Terms.
